THE FELLOWS COLLECTIVE – TERMS & CONDITIONS

These Terms & Conditions (“Terms”) set out the agreement between The Fellows Collective
(“we”, “us”, “our”) and the Member (“you”, “your”) who joins our purchasing collective or uses
our services.
By becoming a member, you agree to these Terms.
1. Membership
1.1 Membership begins on the date we confirm your registration.
1.2 We reserve the right to accept or refuse any application.
1.3 Membership is non-transferable unless agreed in writing.
1.4 Members must provide accurate, up-to-date business information at all times.
2. Membership Plans & Fees
2.1 Membership tiers include Basic, Silver, Premium and Enterprise, each offering different features
and benefits.
2.2 Fees may be paid monthly or annually, depending on the chosen plan.
2.3 Membership fees are non-refundable unless required by law.
2.4 Failure to pay fees may result in membership suspension or termination.
2.5 Annual memberships provide no partial refunds if cancelled early.
3. Supplier Pricing & Discounts
3.1 Members gain access to negotiated prices, discounts, and supplier agreements through The
Fellows Collective.
3.2 Discounts are set by suppliers and may vary depending on product category, volume, or supplier
policies.
3.3 Where a “discount gap” exists, The Fellows Collective may receive a rebate or commission
from the supplier.
3.4 Members acknowledge that pricing can change due to supplier costs, taxes, duty increases, or
market fluctuations.
3.5 Members must order directly from approved suppliers to receive negotiated pricing.
4. Ordering & Delivery
4.1 Orders are placed directly with the supplier unless otherwise specified.
4.2 The Fellows Collective is not responsible for supplier delivery times, shortages, or product
quality.
4.3 Any disputes about deliveries must be handled between the member and the supplier.
5. Rebates & Commission
5.1 The Fellows Collective may receive a commission, rebate, or incentive from suppliers based on
member purchases.
5.2 This commission enables us to operate the Collective and keep membership fees low.
5.3 Members acknowledge that commission arrangements do not reduce their agreed discount.
6. Member Responsibilities
Members agree to:
• Use the Collective fairly and ethically.
• Pay suppliers directly for orders.
• Not misuse pricing, leak confidential supplier information, or attempt to bypass the
collective to obtain additional discounts.
• Notify us of any supplier attempting to go direct.
7. Data Protection & Confidentiality
7.1 We will handle all member data in line with UK GDPR and data protection laws.
7.2 Pricing, supplier agreements, and rebate structures are confidential.
7.3 Members must not share confidential information with third parties.
8. Liability
8.1 The Fellows Collective is not liable for:
• Supplier errors, shortages, delays, or quality issues
• Loss of business, profit, or revenue
• Member disputes with suppliers
• Any indirect or consequential losses
8.2 Our total liability will not exceed the total membership fees paid in the past 12 months.
9. Termination
9.1 Members may cancel membership with 30 days’ notice unless on an annual non-refundable
plan.
9.2 We may terminate membership for:
• Non-payment
• Misuse of pricing or breach of confidentiality
• Fraudulent or abusive behaviour
9.3 Upon termination, access to all pricing and agreements ends immediately.
10. Changes to Terms
10.1 We may update these Terms at any time.
10.2 Members will be notified of significant changes in advance.
11. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes shall be resolved in UK courts.
